Every ESG framework measures board composition and audit independence. Almost none ask the question that determines whether governance actually works: who decides which harms are worth measuring? That is not abstract. It has a documented history. In CSR, we call it materiality assessment. The mechanism sounds technical. It is not. It is a values decision dressed in accounting language. And when you trace it back through history, the pattern is impossible to ignore.
